These Terms and Conditions (“Terms”) govern your access to and use of the Aligno website, application, and services (collectively, the “Service”), operated by Aligno (“Aligno,” “we,” “us,” or “our”).

By accessing or using Aligno, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.

1. Definitions

  • “User” means the individual or entity that creates an Aligno account.
  • “Client” means any person invited by a User to view, comment on, or approve content through Aligno, with or without an account.
  • “Project” means a collection of assets created by a User within Aligno.
  • “Assets” means designs, images, URLs, webpages, or other materials uploaded, linked, or shared through the Service.
  • “User Content” means all content submitted to Aligno by Users or Clients, including comments, approvals, and feedback.
  • “Proxied Content” means third-party websites or webpages accessed via Aligno’s review or proxy functionality.

2. Eligibility

You must be at least 18 years old to create an Aligno account or use the Service. By using Aligno, you represent and warrant that you meet this requirement.

3. Account Registration and Security

  • Only Users (creators) are required to create an account.
  • Clients may interact with the Service without creating an account.
  • You are responsible for maintaining the confidentiality of your login credentials.
  • You are responsible for all activity occurring under your account.
  • You must notify us immediately if you become aware of any unauthorized access to your account.
  • We reserve the right to suspend or terminate accounts at our sole discretion.

4. Use of the Service

You agree to use Aligno solely for lawful purposes and in accordance with these Terms.

You must not:

  • Use the Service in a way that damages, disables, or impairs the Service or interferes with other users.
  • Upload or transmit malicious software, viruses, or harmful code.
  • Attempt to gain unauthorized access to the Service, servers, or systems.
  • Use automated systems (scraping, crawling, data harvesting) without our written permission.
  • Use the Service to review or access websites or content you are not authorized to access.

5. User Content and Ownership

5.1 Ownership

As between you and Aligno:

  • You retain all rights to your User Content.
  • Aligno does not claim ownership of your designs, websites, or feedback content.

5.2 License to Aligno

By submitting User Content, you grant Aligno a limited, non-exclusive, royalty-free license to host, display, reproduce, and process such content solely for the purpose of operating and providing the Service.

6. Proxied and Third-Party Content

  • Proxied Content remains the property of the respective third-party website owners.
  • Aligno does not control, endorse, or guarantee the accuracy or legality of Proxied Content.
  • Any credentials, form inputs, or data entered through proxied websites are not stored by Aligno, except as temporarily required to display content to the User.
  • You are solely responsible for ensuring you have permission to access and review any website or content through Aligno.

7. Approvals and Feedback

  • Aligno provides tools for collecting comments, feedback, and approvals.
  • Approval status reflects the Client’s stated intent at the time of action.
  • Aligno does not verify identity, authority, or legal capacity of Clients providing approvals.
  • You are responsible for determining whether approvals collected through Aligno meet your contractual or legal requirements.

8. Payments and Subscriptions

If you purchase a paid plan:

  • Fees are billed in advance and are non-refundable unless required by law.
  • Subscription plans may renew automatically unless canceled.
  • We reserve the right to change pricing or features with reasonable notice.
  • Failure to pay may result in suspension or termination of access.

9. Availability and Service Changes

We do not guarantee that the Service will be uninterrupted, error-free, or available at all times.

We reserve the right to:

  • Modify or discontinue any part of the Service
  • Add or remove features
  • Suspend access for maintenance or security reasons

10. Disclaimers

The Service is provided “as is” and “as available.”

To the maximum extent permitted by law, Aligno disclaims all warranties, express or implied, including but not limited to:

  • Merchantability
  • Fitness for a particular purpose
  • Accuracy or reliability of content

Your use of Aligno is at your own risk.

11. Limitation of Liability

To the fullest extent permitted by law:

  • Aligno shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
  • Aligno’s total aggregate liability for any claim shall not exceed the amount paid by you to Aligno in the 12 months preceding the claim, or $50 USD, whichever is greater.

12. Indemnification

You agree to indemnify and hold harmless Aligno and its officers, directors, employees, and contractors from any claims, damages, losses, or expenses arising out of:

  • Your use of the Service
  • Your User Content
  • Your violation of these Terms
  • Your violation of any law or third-party rights

13. Termination

  • You may stop using Aligno at any time.
  • We may suspend or terminate your access immediately if you violate these Terms or applicable laws.
  • Upon termination, your right to use the Service will cease.

14. Governing Law and Jurisdiction

  • These Terms shall be governed by and construed in accordance with the laws of [YOUR COUNTRY / STATE], without regard to conflict of law principles.
  • You agree to submit to the exclusive jurisdiction of the courts located in that jurisdiction.

15. Changes to These Terms

We may update these Terms from time to time. Continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
